Terms of Use
(Terms and Conditions)
The Michigan State University Orange County Alumni Club,
Inc. (hereinafter “MSUOCAC” or “Club”), in its sole discretion, may terminate
this User Agreement, access to the site, the services, or any activities
immediately, without notice and for any reason.
We reserve the right to change the terms and conditions of the User Agreement
at any time.
This agreement was last revised on December 22, 2004.
I. General Policies and Procedures
A. Who is Eligible?
As a visitor to the site, you may access certain pages and information that is
available to the general public. But, you will not be able to access pages or
data restricted to those who have registered and logged in. In order to
participate, access or use certain pages, features or data, you must first
register, supplying us with a verifiable user name, address, phone number and Email
address, before you may login.
The Club is allowed, at its sole discretion, to refuse a member from
participating in any of its services at any time and for any reason.
B. What is MSUOCAC?
MSUOCAC was founded to work together to build a community devoted to supporting
and strengthening Spartan Spirit in Orange County through student recruitment
via our scholarship endowment fund, activities, events, networking, education,
and involvement in the Michigan State University Alumni Association (MSUAA, http://www.msualum.com ). The Club’s site (http://www.michiganstate.org) was
created to further that vision.

C. For Your Protection
As a general rule, you should always use caution when placing personal
information online. MSUOCAC has no way of guaranteeing that each user is who
they are representing themselves to be. However, because we want our users to
feel safe and secure while on this site, we provide different levels of
security, which involves a review process at certain levels. This process is
managed by MSUOCAC Administrators and is not error-free.
If any illegal activity occurs on this site, MSUOCAC reserves the right to restrict access to the site or take whatever precautions we deem necessary to maintain the safety of our services. Although it is prohibited to give false, offensive, harmful or deceptive information, we cannot take responsibility for it if it does occur.
D. System Integrity
To protect the security of our system, you agree not to interfere or
attempt to interfere with the proper workings of this site. Any device,
software or routine used to interfere or attempt to interfere with
the proper working of the site is considered illegal. Any communication
and information provided by you will be free of any viruses, time bombs,
cancel bots, Trojan Horses, worms or any other programming device intended
to interfere with or intercept any system, data, or personal information
on this site. You may not take any action that imposes an unreasonably
large load on our infrastructure. Under no circumstances should you
disclose your password(s) or any other of your personal information
to anyone. It is your responsibility to maintain the confidentiality
of your password(s) or any other of your personal information. You
will be responsible for any and all activities occurring under your
username. If you are aware of any unauthorized use of your username and/or
password(s), contact MSUOCAC (webmaster@michiganstate.org )
immediately.

E. Applicable Laws
You agree to comply with all applicable laws, statutes, ordinances
and regulations in your use of this site’s services.
F. Notices
The address and information that is given to MSUOCAC during the registration
process may be used to send our members notices through Emails, regular
mail or certified mail, postage prepaid and return receipt requested.
Email will be thought of as received after 24 hours, unless the sending
party receives notification that the Email is incorrect or invalid.
Regular mail will be thought of as received as of three days after
the postage date. The Club may also give notice of changes to the this
Agreement by posting notices or announcements at www.michiganstate.org.
G. Breach of Contract
If you breach this agreement or any of its attachments, if any information
provided by you is incomplete or inaccurate, or if MSUOCAC believes
you have acted inconsistently with the spirit of the letter of this
agreement, MSUOCAC retains the right to terminate your rights to use
the service.
You agree, as a member of MSUOCAC and in your use of the site, not
to use a false or misleading name or a name that you are not authorized
to use. Fraudulent supplication of member information will be
prosecuted to the fullest extent to the law.
MSUOCAC will cooperate with local, state and federal law enforcement
agencies in enforcement actions. Without limiting other remedies, MSUOCAC
will suspend or terminate your membership if you are found to have
engaged in fraudulent activity or repeatedly infringing third party
intellectual property rights.

II. Fees and Payment Terms
Use of the website is free and available to all visitors, without charge,
except for certain pages that are exclusively limited to those who
are registrated, which may change from time to time. Registration is
required to “login” to access these pages, services and data on the Club’s website. Joining
MSUOCAC and becoming a full member provides the visitor, after logging in, to
access pages, data and services not authorized to others. Membership in MSUOCAC
requires payment of an Activity Fee. Since MSUOCAC is a not-for profit
organization, this Activity Fee may be tax deductible. It is your
responsibility to check with your tax consultant to confirm this. The fee(s)
collected by MSUOCAC are used to fund various programs and projects as outlined
in the Club’s Mission Statement and its Goals and Objectives, if any. MSUOCAC reserves
the right to change the fee(s) at any time, without notice.
Membership Activity Fees are due at the time of joining. You may join
MSUOCAC at the time of initial registration, or at anytime afterwards.
You will be sent a notification of renewal of those fee(s) requiring
periodic renewal via E-Mail, US Post or other means prior to the renewal
date. Payment must be made within the time prescribed by MSUOCAC to
maintain full membership privileges.
Payment must be made by check, or money order, electronic payment (PayPal),
credit card or other acceptable form, in the time allotted, or full
membership privileges will be canceled. However, your registration
will remain intact and you will not be removed from the database if
payment has not been made.

III. Privacy and Use of Information
A. Privacy Statement
MSUOCAC has a current Privacy Policy that covers in detail
the use of your information (such as name, Email address, mailing
address, etc.) and is incorporated herein by reference. MSUOCAC will
not share any of your user information with others or disseminate to outside
parties the private information entered by you, without your permission. This
information includes any information provided to us or to another
member for purposes of registration, use of Forums, Message Boards,
listings and any public message or Email system.
B. Member's Responsibilities
In order to maintain our integrity and minimize any liabilities
with our ISP or other suppliers, we may take any action we deem
necessary to protect these relationships. By being a member of
our community, you are liable for all the information provided
by you.
You may not:
Be defamatory, trade libelous, unlawfully threatening or unlawfully harassing.
Infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy.
Violate any law, statute, ordinance or regulation.
Be obscene or place within, or link to our site any pornography or other immoral information.

A. No Warranty
USER EXPRESSLY AGREES THAT USE OF THE MICHIGAN STATE UNIVERSITY ORANGE COUNTY
CLUB’S SERVICES IS ON AN "AS IS" AND "AS AVAILABLE" BASIS,
SOLELY AT THE MEMBER'S RISK, WITHOUT ANY WARRANTY OR CONDITION EXPRESSED OR
IMPLIED ON THE PART OF MSUOCAC. THE CLUB EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES
OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
THE CLUB MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OR
THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR
DOES THE CLUB MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE
USE OF THE SERVICES OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION
OBTAINED THROUGH THE SERVICES OR THAT DEFECTS IN THE SOFTWARE WILL BE
CORRECTED.
MSUOCAC MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED
THROUGH THE SERVICES OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SERVICES.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY MEMBER FROM MSUOCAC
OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
B. Limit of Liability
MSUOCAC SHALL IN NO WAY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL
OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE
SERVICES, OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICES
OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF MEMBER'S
TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF
PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF THE CLUB HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.

C. Termination
MSUOCAC in its sole discretion, may terminate this User Agreement,
access to the site or the services immediately, without any notice
and for any reason.
D. Promotions and Advertising
If, and when, MSUOCAC accepts, permits or allows advertising of any kind,
MSUOCAC will assume no liability, obligation, or responsibility for a member's
participation or correspondence with advertisers showing their products
or services on our site. The terms, conditions, warranties or representations
associated with such participation or correspondence are solely between
the member and the corresponding advertiser or promotional company.
E. No Agency
No agency, partnership, joint venture, employer-employee, or
franchiser-franchisee relationship is intended or created by this agreement
between MSUOCAC and its users.
F. Disclosures
